[VIP Membership Service Agreement]
1.Acceptance and Modification of Service Terms
1.1 This agreement refers to the agreement (hereinafter referred to as "this Agreement") entered into by VIP members using the VIP membership services provided by this platform (hereinafter referred to as "the Services"). This Agreement describes the rights and obligations between this platform and VIP members regarding the use of the Services and related aspects. "VIP member" or "you" refers to a natural person user who has completed all procedures for becoming a VIP member of this platform (i.e., paying VIP membership fees and agreeing to all contents of this Agreement) and uses the VIP membership services provided by this platform in compliance with the relevant rules of this platform (hereinafter referred to as "you").
1.2 This Agreement constitutes a prerequisite for your use of the Services provided by this platform. This platform has prompted you to read the relevant exemption or limitation of liability clauses in this Agreement in bold font or other reasonable ways. Both parties confirm that the aforementioned clauses do not belong to the clauses stipulated in the Civil Code that "exempt their liabilities, increase the liabilities of the other party, or exclude the main rights of the other party", and both you and this platform recognize their legality and validity. Unless you accept the terms of this Agreement, you are not entitled to use the Services, and your choice to use the Services will be deemed as your acceptance of the terms of this Agreement and its subsequent amendments.
1.3 Your use of the Services (including clicking to agree, proceeding to the next step, and payment actions) will be deemed as your acceptance of the terms of this Agreement, relevant page descriptions, or standard procedures.
1.4 This platform reserves the right to modify the terms of this Agreement at any time. Once the terms of this Agreement are changed or modified, this platform will announce them on the relevant pages. If you do not agree to any modification of this Agreement, you may cancel the VIP membership services you have obtained and stop using them. If you continue to use the VIP membership services provided by this platform, you will be deemed to have accepted all modifications to this Agreement.
1.5 Please carefully review the entire content of this Agreement and choose whether to agree to this Agreement. Minors should review and fulfill this Agreement under the accompaniment of their legal guardians. The purchase of the Services, exercise, and fulfillment of the rights and obligations under this Agreement by minors will be deemed as having obtained the approval of their legal guardians. You must fully and strictly comply with the terms of this Service Agreement when enjoying the Services.
2.Service Description
2.1 You understand and agree that this platform grants VIP members a personal, non-exclusive, non-transferable, revocable, and time-limited license to use, i.e., VIP members only enjoy limited usage rights to the above products/services and software. The Services will be strictly implemented in accordance with their service terms and operating rules. When enjoying any individual service in the Services, VIP members shall be bound by this Agreement, relevant page descriptions, or standard procedures.
2.2 You shall bear full responsibility for all your actions when using the services provided by this platform, whether intentional or not. This platform has the right to supervise, prompt, and inspect all activities of VIP members on this platform or/and the service platforms provided by its affiliated companies. If the actions of VIP members violate relevant laws and regulations or the terms of this Agreement, this platform has the right to demand corrections and hold them accountable.
2.3 All services provided by this platform to VIP members are limited to use on this platform. Any behavior that malicious cracks or other illegal means to separate the content of the Services from this platform does not belong to the services provided by this platform as agreed in this Agreement. All legal consequences arising therefrom shall be borne by the perpetrator and have nothing to do with this platform, and this platform will hold the perpetrator legally responsible in accordance with the law.
2.4 You expressly understand and agree that the payment method for VIP members of this platform is through a third-party payment agency. There may be certain commercial risks when you pay through this payment method, including but not limited to illegal activities by criminals using your account, bank card, or other valuable cards, which may cause corresponding economic losses to you. You shall bear the consequences of pursuing infringement liabilities from the infringer and the inability to hold them accountable.
2.5 This platform shall not bear any responsibility for losses caused to you due to actions or omissions of third parties, including but not limited to payment services and network access services, infringement acts or other illegal acts of any third party.
3.Procedures for Becoming a VIP Member
3.1 You may become a VIP member of this platform through various existing and future channels. You must not apply to activate VIP membership for yourself or others through any of the following methods. Otherwise, this platform has the right to reject the application or revoke the VIP membership of the relevant user without notice, and will not refund the VIP membership service fee or pay any other form of compensation. At the same time, this platform has the right to pursue relevant legal responsibilities:
(1) Activating this service for yourself or others for the purpose of profit, business, or non-personal use without legal authorization;
(2) Illegally activating VIP membership of this platform through any robot software, spider software, crawler software, screen-brushing software, or any other programs or software;
(3) Activating VIP membership of this platform through other methods not specified by this platform;
(4) Activating VIP membership by infringing upon the legitimate rights and interests of this platform or/and its affiliated companies or third parties, or through other improper methods, or methods that violate the principle of good faith, such as intruding into the server of this platform or through computer viruses;
(5) Activating VIP membership through other methods that violate relevant laws, administrative regulations, or national policies.
3.2 The ownership of the VIP member account of this platform belongs to this platform, and the VIP member only has the limited right to use the account of this platform.
3.3 This platform only provides relevant network services. In addition, the equipment related to network services (such as personal computers, mobile phones, and other devices related to accessing the Internet or mobile networks) and the required fees (such as telephone and Internet access fees for accessing the Internet, and mobile phone fees for using mobile networks) shall be borne by the VIP member.
4.VIP Membership Fees
4.1 The charging standards for VIP members of this platform are mainly determined based on the duration of the VIP membership activation. The specific charging standards are subject to the detailed tariff prices marked on the relevant service pages of this platform or the actual provision.
4.2 Users may become VIP members of this platform through various existing and future payment channels, including but not limited to: becoming a VIP member through online banking payment, mobile payment, or third-party payment, or other methods specified by this platform in the future (the specific payment channels are still subject to the actual acceptance or instructions of this platform).
4.3 Once you become a VIP member of this platform, you are deemed to have accepted the price indicated for this service; after becoming a VIP member of this platform, this service will take effect immediately.
4.4 You understand and agree that this platform has the right to unilaterally modify and change the charging basis, standards, and methods related to this service in accordance with its own operational policy adjustments. The aforementioned modifications and changes will be displayed on the relevant pages. If you need to obtain and use this service, please first understand the information about the charging basis, standards, methods, and scope of permissions for this service in advance.
4.5 You can log in to the "Personal Center - Account Balance - View Details" page of this platform to inquire about the details of your account information for free, including recharge points, gifted points, recharge order records, and point change records.
4.6 After activating the VIP membership of this platform, if your VIP membership is terminated in accordance with this Agreement during the activated service period, you will not receive a refund of the fees paid for activating this service or any other form of compensation.
5.VIP Member Benefits
5.1 VIP member benefits on this platform refer to the exclusive services provided by this platform for VIP members. During the validity period of VIP membership, you can enjoy all content on this platform without advertisements, except for splash screen ads.
5.2 You understand and agree that this platform has the right to make any or all changes, cancellations, or additions to VIP member benefits based on market conditions. The aforementioned changes, cancellations, or additions will be displayed on the relevant pages. You can also inquire about the latest VIP member benefits on the relevant service pages of this platform. At the same time, this platform encourages you to regularly review the content of this Agreement to better protect your rights and interests.
5.3 The service duration of VIP member services is based on the duration selected and paid for by the VIP member. After the service duration of VIP member services expires, this platform will cease to provide VIP member services to you.
6.Rights and Restrictions of VIP Members
6.1 VIP member services are limited to use by the account holder only; VIP member services cannot be transferred between accounts on this platform during the service period, and giving, lending, renting, transferring, or selling is prohibited. Otherwise, this platform has the right to cancel the VIP member service qualifications of the transferring and receiving accounts without notice, and the VIP member shall bear the losses arising therefrom.
6.2 After becoming a VIP member, you may encounter differences in the specific benefits or services available to you due to factors such as the software version, device, operating system you use, or other third-party reasons. You understand and agree not to hold this platform liable for any inconvenience this may cause. This platform suggests that you can try to resolve the issue by upgrading your application or operating system version, changing your device, or contacting this platform directly through the contact information provided at the end of this Agreement.
6.3 Users must not obtain or purchase VIP member service qualifications through illegal means such as theft, exploitation of system vulnerabilities, or from websites or other channels that illegally sell or transfer VIP member services of this platform without authorization from this platform. Otherwise, this platform has the right to cancel the VIP member service qualifications. The user shall bear the consequences arising therefrom, and this platform shall not bear any responsibility. At the same time, this platform hereby declares that it has never authorized any third-party entity or individual to sell or transfer VIP member qualifications of this platform. Any act of selling or transferring VIP member qualifications of this platform without the express authorization of this platform constitutes illegal sales or illegal transfer, and this platform has the right to pursue legal responsibilities.
6.4 VIP members undertake not to make or exercise any statements or actions that are detrimental to this platform or/and its affiliated companies under any circumstances, including but not limited to causing adverse effects on the brand or reputation of this platform or/and its affiliated companies through any channels and methods such as WeChat, Weibo, interviews, or articles.
6.5 VIP members whose VIP member qualifications have been canceled may no longer participate in activities organized by this platform for VIP members and may no longer enjoy various VIP member discounts and value-added services provided by this platform, i.e., they may no longer enjoy VIP member rights.
6.6 The VIP member services provided by this platform and VIP member qualifications must not be used for commercial, profit-making, or other purposes that infringe upon the legitimate rights and interests of this platform or/and its affiliated companies (whether or not they are charged), and are only available for private viewing.
6.7 Unless otherwise permitted in writing by this platform in advance, copying, downloading, uploading, modifying, cataloging, translating, distributing, developing, transferring, selling, displaying, or disseminating works provided by VIP member services is prohibited; synthesizing, nesting, or linking works provided by VIP member services is prohibited; using works or their segments provided by VIP member services to create derivative works, for teaching or research, or for commercial development or promotion is prohibited; and using works provided by VIP member services for commercial purposes is prohibited, including the following situations:
(1) Modifying the service duration, consumption amount, or transaction status of the VIP member account through illegal means, or using the works provided by the purchased VIP member services in an illegal manner or for illegal purposes;
(2) Providing your VIP member account of this platform to any third party, whether paid or unpaid, and allowing others to view the works provided by the VIP member services that are not paid for by others through your account;
(3) Copying, selling, renting, or authorizing the works provided by VIP member services to any third party.
(4) Actively cracking, altering, reversing, destroying, or otherwise tampering with any security measures or technologies used by this platform to protect the works provided by VIP member services, or assisting others in engaging in the aforementioned acts;
(5) Obtaining works provided by VIP member services through methods not recognized by this platform, or deleting any ownership statements or labels on the works provided by VIP member services;
(6) Displaying all or part of the works provided by VIP member services in any public venue, whether for a fee or for free, unless your aforementioned actions do not constitute infringement or you have obtained legal authorization;
(7) Damaging the interests of third parties, collecting third-party information through this platform, destroying or stealing third-party accounts, sending fraudulent emails and spam, or infringing upon the legitimate rights and interests of third parties, including but not limited to privacy rights, intellectual property rights, and property rights;
(8) Other acts not expressly authorized or licensed by this platform.
6.8 If a VIP member violates any national laws, regulations, or supervisory policies, violates this Agreement or the relevant usage rules of this platform, or if this platform believes that the VIP member's behavior has harmed the reputation or interests of this platform or/and its affiliated companies, this platform has the right to independently decide to take one or more of the following measures, either individually or simultaneously:
(1) Interrupt or terminate some or all VIP member benefits or services, and cancel the VIP member account and usage rights of this platform without any compensation or refund of any VIP member service fees;
(2) If the VIP member's breach causes losses to this platform or/and its affiliated companies (including but not limited to direct economic losses, loss of goodwill, and indirect economic losses such as compensation, settlement fees, legal fees, and litigation fees paid to external parties), the VIP member shall bear full liability for the losses and pay the fees within the time limit required by this platform.
6.9 When using the services provided by this platform, if a VIP member suffers any personal or property losses, damages, or injuries, except for responsibilities stipulated by law, this platform or/and its affiliated companies shall not be liable regardless of the cause.
6.10 After activating the VIP member services of this platform, you have the right to choose not to continue receiving these VIP member services. You may apply to cancel these VIP member services, but you will not be able to obtain a refund of the fees already paid or any compensation, unless stipulated by law or otherwise agreed between this platform and you.
7.Amendment of the Agreement
7.1 This platform may amend the service content, service methods, and the content of this Agreement in accordance with the provisions of this Agreement. If a VIP member does not agree to any of the aforementioned amendments made by this platform, they have the right to cancel and cease using all or part of the corresponding services that have been obtained. If a VIP member continues to use the aforementioned services provided by this platform after the implementation of the aforementioned amendments by this platform, it shall be deemed that the VIP member has accepted all the content of the aforementioned adjustments made by this platform.
7.2 Once this platform modifies this Agreement, it will announce the modified content on the page or other appropriate locations. Such announcement shall be deemed as successful notification to all VIP members.
7.3 If a VIP member does not agree to the modification of the terms, they may take the initiative to propose the termination of VIP member services to this platform. However, this platform will not refund the partial fees for the VIP member services that have been enjoyed from the activation of the VIP member services to the actual termination of the VIP member services. If the VIP member continues to enjoy the VIP member services, it shall be deemed that the VIP member has accepted the modification of the terms.
8.Interruption and Termination of Services
8.1 In the event of any irresistible reasons on the part of this platform, such as government actions, force majeure (in view of the special nature of the Internet, force majeure also includes hacker attacks, significant impacts caused by technical adjustments of telecommunications departments, temporary closures due to government regulations, virus attacks, and other circumstances that affect the normal operation of the Internet), resulting in the inability to continue providing VIP member services, this platform will notify VIP members as soon as possible.
8.2 The service duration provided by VIP member services includes the reasonable time required by this platform to resolve faults, repair servers, adjust, and upgrade, etc. This platform will not provide any compensation for the time required for the aforementioned circumstances or any losses caused (if any), but this platform will make announcements in advance as much as possible.
8.3 Regardless of the reasons for the interruption or termination of VIP member services, this platform has the right to handle it as follows:
(1) Unless otherwise stipulated by laws and regulations or otherwise agreed between this platform and you, the fees already collected by this platform will not be refunded;
(2) The VIP member benefits that have been generated but not used by the user will be automatically cleared and will not be converted into cash;
(3) If the interruption or termination of VIP member services is caused by the user's breach of contract, this platform has the right to require the user to bear the corresponding liability for breach of contract as appropriate.
9.Minor Clauses and Privacy Policy
9.1 This platform pays great attention to the protection of minors. If a user is under the age of 18, they are considered a minor and should read this Agreement and use this service under the guardianship and guidance of their guardian.
9.2 Guardians should guide their children on the safety issues that should be paid attention to when surfing the Internet and take preventive measures. If a guardian agrees to a minor's use of the services provided by this platform, the consumption must be applied for in the name of the guardian, and the guardian should provide correct guidance and supervision for the minor's use of these VIP member services. The minor's exercise and fulfillment of the rights and obligations under this Agreement shall be deemed as having obtained the guardian's recognition.
9.3 This platform reminds minor users to be good at online learning when using these VIP member services, recognize the difference between the online world and the real world, avoid becoming addicted to the Internet, and avoid affecting their daily study and life.
10.Notification
To facilitate your access to information related to this platform, you agree that this platform has the right to notify you through one or more methods such as webpage announcements, page prompts, pop-ups, message notifications, public account notifications, and SMS to the user's reserved mobile phone number. Such notification shall be deemed as having been delivered to the user on the date of sending by this platform. If multiple notification methods coexist, the delivery time shall be based on the earliest sending time among the aforementioned methods.
11。Applicable Law and Jurisdiction
11.1 The entry into force, performance, interpretation, and dispute resolution of these service terms shall be governed by the laws of the People's Republic of China. If these service terms are partially invalid due to conflict with the current laws of the People's Republic of China, the validity of the remaining parts shall not be affected.
11.2 In the event of any dispute regarding the content of this Agreement or its implementation, efforts should be made to resolve it through friendly negotiation. If negotiation fails, either party may file for arbitration with the Beijing Arbitration Commission.
12.Miscellaneous
12.1 If you have any questions (including inquiries, complaints, etc.) about this "VIP Member Service Agreement" or matters related to the use of VIP member services on this platform, please contact this platform through the help feedback portal on the feature page. This platform will respond to your feedback as soon as possible after receiving your opinions and suggestions.
12.2 The failure or delay of this platform in exercising its rights under this Agreement does not constitute a waiver of such rights. The exercise of any right under this Agreement in a single or partial manner does not preclude the exercise of any other rights. This platform has the right to demand that you continue to fulfill your obligations and bear corresponding liability for breach of contract at any time.
12.3 The headings of this Agreement are for convenience and readability only and do not affect the meaning or interpretation of any provisions in the main text.
